ARTICLE I

 

The name of this organization shall be the Northeast Democratic Club (hereafter referred to as “the Club”).

 

ARTICLE II

 

The Club was incorporated under the laws of the State of Maryland as filed with the State Tax Commission on August 31, 2004.

 

ARTICLE III

 

Purpose

 

The Club was formed primarily to encourage, nurture, and motivate registered Democrats to vote.

 

ARTICLE IV

 

Activities

 

In furtherance of the purpose in ARTICLE III, the Club may, but is not limited to, hold fundraisers, publish communications in any medium, and organize a network street by street to fulfill ARTICLE III.

 

ARTICLE V

 

Boundaries of Club

 

The core boundaries of the Club are the Great (Big) Gunpowder Falls River on the north; Pulaski Highway on the east; White Marsh Run on the south; and the Baltimore Gas and Electric Company transmission line at Simms Avenue on the west.  Though the core boundary is defined above, full membership is opened to registered Democrats as defined in Article VII.

 

ARTICLE VI

 

Partisan nature of the Club

 

The Club is an organization opened only to registered Democrats.

 

 

 

ARTICLE VII

 

Membership

 

Membership in the Club is primarily open to registered Democrats who reside in the 7th or 8th legislative district.  The Board of Directors will determine the membership application for residents who reside outside of the 7th or 8th legislative districts.

 

ARTICLE VIII

 

Board of Directors 

 

Nine (9) members will serve a three-year term on the Board.  The original Board will consist of three (3) members serving a one-year term; three (3) members serving a two-year term, and (3) members serving a three-year term.  At least five (5) Board members must reside in the core area.  New Board members are to be elected in November or December of each year.  The Board will organize each January electing their President, Vice-President, Treasurer, and Secretary.  The remaining members will serve as Board members.

 

ARTICLE IX

 

Duties of the Board

 

The Board will determine when to hold meetings of the Board and full membership meetings.  The Board will determine if dues are necessary on a yearly basis.  If a member of the Club needs to be removed, the Board will make this determination.  This Article does not limit the Board to fulfill additional duties, as they deem necessary.

 

ARTICLE X

 

Amendments to the By-Laws

 

The By-Laws may be passed upon and amended at any regular meeting of the Club or through mail by a 2/3 vote of Club members, provided that the entire text of the proposed amendment is furnished to the members.  The Board shall determine if the vote is to take place at a meeting or by mail.
